Acceptance
By creating a Coop account or using any Coop service, you agree to these Terms. If you are using Coop on behalf of an organization, you represent that you have authority to bind that organization.
If you do not agree to these Terms, do not use the service.

The service
Coop provides a platform for matching businesses ("Clients") with independent virtual assistants ("VAs"), and a suite of tools for time tracking, task management, leave management, invoicing, and AI-powered automation.
VAs on the Coop roster are independent contractors, not employees of Coop. Coop is not a staffing agency in the legal sense — it is a technology platform that facilitates and manages the relationship.
Coop reserves the right to modify or discontinue any part of the service at any time with reasonable notice.

Accounts
You are responsible for maintaining the security of your account credentials. Coop is not liable for any loss or damage resulting from unauthorized access to your account.
You must be at least 18 years old and legally permitted to enter into contracts in your jurisdiction.
You may not create accounts for the purpose of abuse, competitive intelligence, or circumventing a suspension.

Billing & payment
Platform tiers (Starter, Plus, Power) are billed monthly. VA hours are invoiced monthly based on approved timesheets. VAs are paid bi-weekly by Coop independently of the client billing cycle.
A refundable one-month deposit is collected at placement start, calculated as (agreed hourly rate × contracted monthly hours). The deposit is returned in full upon termination of the VA placement provided no replacement is requested.
All prices are in USD. Payments are processed by Stripe. By providing payment details, you authorize Coop to charge your payment method on the applicable billing cycle.
Refunds are issued at Coop's discretion. The 7-day trial period is non-billable — if you cancel within 7 days of a VA starting, you owe only hours worked.
Overdue invoices may result in service suspension after 14 days.

VA placements
Coop matches Clients with VAs based on role requirements, timezone, and availability. Coop does not guarantee a specific match or timeline, though we target 48 hours for first candidate slate.
You may not solicit or hire a Coop VA outside the platform for 12 months after the relationship ends without Coop's written consent. Violation triggers a finder's fee of 20% of the VA's first year earnings.
Either party may end a placement with 14 days' notice through the platform. Coop will use reasonable efforts to arrange continuity.

AI agents
AI agents are automated software processes that execute tasks on your behalf. You are responsible for reviewing agent outputs before acting on them.
Agent runs are counted per invocation as described in your plan. Unused runs do not carry over between billing periods.
Coop routes tasks to third-party AI models (Anthropic, OpenAI, Google, Perplexity) as appropriate. You agree to those providers' usage policies for content processed through agent runs.

Acceptable use
You may not use Coop for illegal activities, harassment, distribution of harmful content, or any purpose that violates applicable law.
You may not attempt to reverse-engineer, scrape, or otherwise extract data from the Coop platform in an unauthorized manner.
You may not use Coop to circumvent export controls or sanctions regimes.

Intellectual property
You retain ownership of all content you submit to Coop. By submitting content, you grant Coop a limited license to process and display it as necessary to operate the service.
The Coop name, logo, and platform design are Coop's intellectual property. You may not use them without written permission.
Feedback you provide about Coop may be used by Coop without restriction or compensation.

Limitation of liability
Coop provides the service "as is" and makes no warranties, express or implied, about reliability, fitness for a particular purpose, or freedom from error.
To the fullest extent permitted by law, Coop's total liability to you for any claim arising out of or relating to these Terms or the service shall not exceed the greater of (a) $500 USD or (b) the fees you paid to Coop in the 3 months preceding the claim.
Coop is not liable for indirect, incidental, consequential, or punitive damages.

Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Any dispute not resolved informally shall be resolved by binding arbitration under JAMS rules in Dover, Delaware. Class actions are waived.
If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
